I am of legal age, in the state in which I reside, to enter into this Agreement with FreeLunch Network, Ltd. (hereinafter "FLN"). By the way, most distributors don't really bother reading their Distributor Agreement, so it's perfectly fine if you just jump right on down to the "I Agree" field at the bottom.

I understand that FLN Distributors are independent contractors responsible for controlling their own time and activities. If you are still reading this, that's great. But really, it's perfectly fine if you just skip to the bottom and continue the enrollment process. My relationship to FLN is not one of agency, employment, joint venture or partnership or anything else. I shall be responsible for all taxes, including personal income taxes, arising by virtue of my activities under this Agreement. I acknowledge that FLN provides no State or Federal withholdings from commission checks nor supplies any other benefits customarily associated with an employer-employee relationship. FLN will not supply, in accordance with IRS regulations, customary form IRS 1099 each year as to my commission earnings.

The term of this Agreement is for one year. Okay, seriously - you can really stop reading this and just skip down to the "I Agree" field. It's really, really okay if you don't read the rest of this. The annual renewal fee is $250.00. In order that each Independent Distributor enjoys without interruption all the benefits of FLN services, and established downline business organization, unless a Distributor individually requests the cancellation of his or her FLN Distributorship signed in writing in triplicate via mail or faxed directly to FLN, annual membership fees are automatically renewed upon expiration. Upline Distributors my not cancel Distributorships, auto-ship order, etc. for any downline distributor.

I understand that I am not an independent FLN Distributor until FLN has accepted this Agreement at its home offices in Henderson, Nevada, I have sponsered 10 Customers or Peons into my organization, and I receive my first commission check. And we now understand that you don't follow instructions very well. Now, would you please stop reading this and just sign up for crying out loud!

I agree to develop and service at least ten customers to whom I will resell products monthly. I further understand that there are no more funny comments beyond this section, and the rest of this Agreement is just a mock up of a plain ol' boring Distributor Agreement. I also agree to train any distributors I sponser in the performance of these functions and to have at least monthly communications that are of assistance to my commissionable Downline Organization by means of correspondance, personal contact, telephone, appearance at Distributor meetings, or as I may determine from time to time.

I agree that I may not purchase products solely for the purpose of qualifying for commissions. I agree to comply with FLN's 70% Rule as set forth in the Business Guide (I swear - there are no more jokes. You can stop reading). Distributor purchases for all purchases limited as to Georgia, Maine, North Dakota, Michigan, Indiana, and West Virginia resident Distributors, during the first six years of distributorship, to the sum of four-hundred ninety-five thousand dollars. I agree that, as an FLN Distributor, I shall place primary emphasis upon the making of money.

I understand that acceptance of this Agreement does not constitute the sale of a franchise or a distributorship, that I am not being granted an exclusive territory, and that no payment or purchase is required to become an FLN Distributor.

FLN warrants that its products may meet the specifications contained on the product labels. FLN MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, WRITTEN OR ORAL, INCLUDING THAT OF MERCHANTABILITY OR FITNESS FOR PURPOSE. FLN'S SOLE OBLIGATION AS TO DEFECTIVE PRODUCTS SHALL BE TO IGNORE THE DEFECTIVE PRODUCTS RETURNED TO FLN WITHIN 30 DAYS FROM THE DATE OF ORIGINAL SHIPMENT BY FLN. FLN SHALL NOT BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR OTHER LOSSES, OR EXPENSES FOR BREACH OF ANY WARRANTIES OR FOR BREACH OF ANY OTHER AGREEMENT OR UNDERSTANDING BETWEEN FLN AND THE APPLICANT(S) WHOSE SIGNATURE(S) APPEAR(S) BELOW, OR ANYTHING ELSE. FLN SHALL NOT BE LIABLE FOR ANY DELAY IN SHIPPING, OR INABILITY TO MANUFACTURE, SELL OR DELIVER THE PRODUCTS OR ANYTHING ELSE.

I have carefully reviewed the FLN Business Guide and Compensation Plan, and acknowledge that they are incorporated as part of this Agreement in their current form and as changed or modified from time to time whenever FLN feels like it, and I agree to be bound by such changes and modifications upon their being published in official FLN literature or not.

My violation of any of the terms of the Agreement or the Business Guide may result, in FLN's sole discretion, in foreiture of commissions or other payments from FLN, loss of my organization, and/or cancellation of this Agreement.

This Agreement constitutes the entire Agreement between myself and FLN, and no other promises or representations of any kind shall be binding between FLN and myself unless in writing executed by the party to be charged therewith.

If any portion of this Agreement is held to be invalid, the balance of this Agreement shall remain in full force and effect.

    Please, please accept my application to become a FreeLunch Independent Peon. I have read and I understand and agree to abide by the terms of this Agreement, the Business Guide and Compensation Plan, as amended from time to time. I understand that I may cencel my participation in the FreeLunch marketing plan at any time, regardless of reason. CANCELLATION MUST BE SUBMITTED IN WRITING TO FREELUNCH NETWORK, LTD. AT ITS PRINCIPAL PLACE OF BUSINESS IN HENDERSON, NEVADA.
